01Who we are
Kwintio is an online invoicing and Peppol service of Andrei Boacă, a natural person running a sole proprietorship (eenmanszaak) under the name Dreilex ("Dreilex", "we").
- Enterprise number (KBO/BCE): 0800.801.118 · VAT number: BE0800.801.118
- Establishment address: Dok-Noord 32 bus 504, 9000 Gent, Belgium
- Email: [email protected] · phone: 0472 72 25 46 · website: kwintio.be
Dreilex applies the special VAT exemption scheme for small enterprises (article 56bis of the Belgian VAT Code): no VAT is charged on our prices.
02Who can use Kwintio – businesses only
- Kwintio is intended exclusively for businesses (enterprises within the meaning of article I.1, 1° of the Belgian Code of Economic Law) with a Belgian enterprise number: companies, associations, self-employed persons and liberal professions using Kwintio for their professional activity ("you").
- Kwintio is not intended for consumers (persons acting for private purposes). When you create a company we ask for a valid enterprise number. By creating an account you confirm that you act for professional purposes and that you may bind the business you register.
- These terms are a contract between businesses (B2B). The rules on consumer contracts (including the right of withdrawal) do not apply.
03How the contract is concluded
- Languages: the contract can be concluded in Dutch, French, English and Romanian. In case of discrepancies the Dutch version prevails.
- Steps: (1) you create an account and confirm your email address; (2) you accept these terms and the Data Processing Agreement with the checkbox; (3) you create your company with its enterprise number – the trial starts; (4) later you choose a subscription and pay via Stripe's payment page.
- Input errors: before each confirmation you can review and correct your data; you can always change your company data in Settings.
- Archiving: we keep the version of the terms you accepted and the date of acceptance. The current version is always available at kwintio.be/terms and can be saved or printed; previous versions are available on request.
- You receive a confirmation of your registration by email and an invoice for every payment.
04Account, users and accountant
- Keep your login details secret; you are responsible for what happens with your account. Report misuse immediately to [email protected].
- Unlimited users: the owner of a company in Kwintio can invite colleagues and decides their role. Your accountant gets free access (role "accountant", read-only). You are responsible for the people you invite and for revoking their access.
- We may temporarily suspend access to an account or a feature where needed because of fraud, abuse, a serious security risk or a serious breach of these terms. The suspension is limited to what is necessary. We notify you in advance or – where security does not allow it – immediately afterwards, with the reason.
05The service
- With Kwintio you create, send, receive, archive and export invoices and credit notes (and quotes), including via the Peppol network.
- Peppol sending and receiving go through a certified Peppol access point provider working for us (see the Privacy policy). We send documents in the Peppol BIS Billing (UBL) format and show the delivery status we receive. We are not responsible for the recipient's access point, for a recipient not registered on Peppol, or for Peppol network outages beyond our control.
- Kwintio is a tool. You remain responsible for the content of your documents (amounts, VAT rates and mentions, invoice language, customer data), for your choice whether or not to invoice via Peppol and for your accounting and tax obligations, including keeping your invoices. Kwintio does not give accounting, tax or legal advice.
- We may adapt and improve Kwintio for a valid reason (technical evolution, security, new legislation, Peppol rules, improvement of the service), provided that the essential service – creating, sending and receiving invoices and credit notes via Peppol, consulting and exporting them – remains available. A change that materially reduces the service for you is announced at least 30 days in advance; you can then cancel with a refund as in article 9.
- We make reasonable efforts to keep Kwintio available but do not guarantee uninterrupted service. Planned maintenance is announced in advance where possible.
06Trial period
Each company (identified by its enterprise number) gets a free 14-day trial once. No payment details are needed and the trial never turns into a paid subscription automatically. After the trial Kwintio remains accessible in read-only mode: you can view and export everything, but cannot create or send new documents until you choose a subscription.
07Prices, invoicing and payment
- Subscription per company: €7.90 per month or €79 per year. Each extra company of the same owner: €3.95 per month or €39.50 per year. Included: unlimited invoices, unlimited users and free access for your accountant.
- Peppol: per company, 50 sent Peppol documents per calendar month are included; each additional sent document costs €0.15. Received Peppol documents are not counted. Additional documents are charged monthly, also on the annual plan.
- All prices are final prices: as long as Dreilex applies the exemption scheme, no VAT is added.
- Waitlist offer (only for those who joined the waitlist before launch, with a confirmed email address): the first 30 sign-ups get 3 months free and then 50% off for 12 paid months; the other waitlist sign-ups get 50% off for 12 months. The discount applies only to the subscription price (not to additional Peppol documents, which are always charged at the normal rate), once per enterprise number, and cannot be combined with another promotion. The waitlist rank is the order of sign-up.
- Payment is made through our payment provider Stripe (card, Bancontact, SEPA direct debit). The subscription is paid in advance for each period; additional Peppol documents are charged after the end of the month with the same payment method. Dreilex issues its own invoice for every payment, via Peppol, or by another electronic means if your business cannot be reached via Peppol.
- Failed payment: you receive an email and have 7 days to update your payment method. After that the account becomes read-only (viewing and exporting remain possible) until payment is settled. In case of late payment, the interest and the flat-rate compensation of the Belgian law of 2 August 2002 on combating late payment in commercial transactions are due.
- Price changes: we may change our prices for a valid reason (e.g. increased costs of our suppliers or of Peppol, inflation, new legal obligations, new features), with at least 30 days' prior notice by email. The new price applies only from your next renewal – never during an already paid period – and a running waitlist discount continues until its end. If you do not agree, you can cancel free of charge before that date.
- VAT: if Dreilex has to charge VAT (e.g. because the turnover threshold of the exemption scheme is exceeded), the statutory VAT is added to the prices from the date VAT becomes due. We notify you as soon as possible; you may then cancel and receive a pro rata refund of the paid, unused part of your period.
08Duration, renewal and cancellation by you
- The subscription runs per month or per year and renews automatically for the same duration unless you cancel.
- You can cancel at any time, without notice period and free of charge, in Settings › Subscription (or by email to [email protected]). Cancellation takes effect at the end of the current paid period; until then everything keeps working. A started period is not refunded, except in the cases of article 9.
- You can switch between monthly and annual plans at any time as provided in the app (during a waitlist discount this may be limited; the app shows it).
09Termination or suspension by us
- We may terminate the contract with 30 days' notice by email, for a valid reason. We then refund the paid, unused part of your period pro rata.
- We may terminate the contract immediately in case of a serious breach not remedied within a reasonable time after formal notice (e.g. fraud, unlawful use, non-payment after the grace period of article 7).
- Discontinuation of Kwintio: if Dreilex stops Kwintio, we notify you at least 3 months in advance, you can export all your data and we refund the paid, unused part pro rata.
- You also receive a pro rata refund if you cancel because of a price or terms change (articles 7 and 13), a material reduction of the service (article 5), a new subprocessor to which you validly object (Data Processing Agreement) or prolonged force majeure (article 12).
- Transfer: we may transfer this contract to a company set up or controlled by Andrei Boacă, or to an acquirer of the Kwintio activity, provided the service continues on the same terms. You consent to this now. We notify you at least 30 days in advance; if you do not agree, you can cancel with a pro rata refund.
10Your data, export and switching
- Your data remain yours. Switching or taking your data with you is free of charge.
- Export in the app (self-service, free of charge, as often as you like) – Settings › Your data: (a) one ZIP file with all your issued invoices and credit notes (PDF and, for business customers, UBL XML according to Peppol BIS Billing 3.0), the UBL files as sent via Peppol, your quotes (PDF), your documents received via Peppol (original UBL XML), your imported documents, CSV overviews (documents, customers, products) and all your data in one structured JSON file (company, users and roles, customers, products, documents, payments, subscription); (b) that JSON file separately; (c) per document, the PDF and UBL file. The export can be limited per year. Not in the export: password hashes, sessions and security tokens (verification and invitation links) and technical logs – data on the security and internal functioning of Kwintio.
- Switching: you may at any time ask to switch to another provider or port your data. There is no notice period. During a transitional period of up to 30 days the service keeps working, we reasonably assist you and anyone you designate with the switch and keep your data secure. Afterwards you can still retrieve your data for at least 30 days – in practice your account remains accessible read-only as long as the data are kept (see below).
- After the end (cancellation, end of the trial, non-payment or closure of the account) your account remains accessible read-only: you can view and export everything as above, but not create or send anything new. Closing the account is done by the owner in Settings › Close account (or by email), after cancelling a running subscription. The owner then chooses: (i) keep invoices (default) – 90 days after closure we erase all data except the issued, received and imported invoices and credit notes, which we keep read-only on your behalf until the end of the statutory retention period (see the Data Processing Agreement) and erase afterwards; or (ii) erase everything – 90 days after closure we erase all data. During those 90 days you can export everything and undo the closure. We keep our own invoices to you for the statutory period (see the Privacy policy).
- For the personal data of your customers and contacts we act as processor on your behalf; the Data Processing Agreement (annex) forms part of this contract. For your own account and subscription data we are controller; see the Privacy policy.
11Acceptable use
You do not use Kwintio for unlawful purposes, false or fraudulent invoices, spam via Peppol, attempts to circumvent security, or automated mass access that harms the service.
12Liability and force majeure
- We are liable without limitation for damage caused by our intent, fraud or gross fault (or that of persons for whom we are responsible) and for harm to the life or physical integrity of a person.
- In all other cases our liability is limited to direct damage and to the amounts you paid us in the 12 months before the event giving rise to the damage. We are not liable for indirect damage such as loss of profit, loss of turnover, or fines and interest resulting from the content of your documents. If we lose data through our fault, we restore them from the latest backup free of charge.
- We are not liable for errors in data you entered, for decisions of the tax administration, or for failures of third parties beyond our control (Peppol network, recipients' access points, payment networks, telecoms).
- Force majeure (article 5.226 of the Belgian Civil Code): a party that is temporarily unable to perform because of an unforeseeable and unavoidable event beyond its control (e.g. a large-scale internet or hosting provider outage, a cyberattack despite appropriate measures, a government measure) notifies the other party as soon as possible; the obligation is then suspended. If force majeure lasts more than 30 days, either party may terminate the contract, with a pro rata refund.
13Changes to these terms
We may change these terms for a valid reason (new legislation or case law, a new feature, security, Peppol rules). We notify you at least 30 days in advance by email and in the app, with the changed text. Material changes must be accepted in the app; if you do not agree, you may cancel free of charge before they take effect, with a pro rata refund. Changes that are solely in your favour or that the law imposes immediately may take effect sooner.
14Applicable law and disputes
Belgian law applies. We first try to settle any dispute amicably via [email protected]. If that fails within 30 days, the courts of Ghent (Gent) have exclusive jurisdiction (for disputes between businesses: the Ghent enterprise court, Ghent division).
